Terms of Use

These terms are an agreement between you and Keeptake (“Keeptake”, “we”, “us”) for the Keeptake iPhone app, the keeptake.co website and related services (together, the “Service”). By creating an account or using the Service you agree to them. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle your data.

1. Who can use Keeptake

You must be at least 13 years old, and old enough to agree to these terms where you live. If you are under the age of majority, a parent or guardian must agree to these terms on your behalf. If you use Keeptake for a business, you confirm you can bind that business to these terms.

2. Your account

Keep your sign-in details secure and tell us at support@n2labs.co if you think someone else has used your account. You are responsible for activity on your account. You can delete your account at any time in the app under You → Delete account.

3. What the Service does

Keeptake transcribes your video on your iPhone, sends the transcript text and timing measurements to our server, and uses an AI model to suggest which parts to keep and which to cut. You can then edit, caption and export the result on your device.

AI decisions can be wrong. Keeptake may cut something you wanted or keep something you did not. Always watch your video before you publish it. You are responsible for what you publish.

4. Your content

You own your videos, audio, transcripts and the edits you make (“Your Content”). Your videos stay on your device. To provide the Service, you give us a limited, worldwide, non-exclusive, royalty-free licence to process the transcript text and measurements the app sends us, only for as long as needed to return your cut decisions and as described in the Privacy Policy. We do not claim ownership of Your Content and do not use it for advertising.

You confirm that you have the rights needed for Your Content, including permission from people who appear or speak in your videos, and that using it with Keeptake does not break any law or anyone else’s rights.

5. Acceptable use

Do not use the Service to:

  • create or edit content that is illegal, sexually exploits minors, harasses or threatens people, or infringes others’ rights;
  • create deceptive content that impersonates a real person without their consent;
  • reverse engineer, scrape, overload or interfere with the Service or its servers, except where the law allows it;
  • get around plan limits, share accounts to avoid paying, or resell the Service;
  • use the Service to build a competing product or to train AI models.

Our AI provider’s usage policies also apply to the requests the app sends. We may refuse a request that breaks them.

6. Subscriptions and free trials

You can subscribe on keeptake.co, where payments are processed by Stripe, or, once available, in the app through Apple’s App Store. A plan bought either way is linked to your Keeptake account and works in the app when you sign in with the same email.

  • Plans include a set number of AI edits per billing period (or unlimited edits, where stated). Unused edits do not carry over. One AI edit is one successful cut of one video.
  • Subscriptions renew automatically, monthly or yearly, at the price shown at purchase until you cancel.
  • Free trial: plans include a 3-day free trial, one per account. You add a payment method when the trial starts; you are charged when it ends unless you cancel before then.
  • Bought on the website: Stripe charges your card at the end of the trial and at each renewal. Cancel, change plan or update your card any time from your account page (Manage billing). Cancelling stops the next renewal; you keep access until the end of the period you paid for. Payments are non-refundable except where the law requires otherwise; if you are a consumer in the EU or UK, you can withdraw within 14 days of your first payment and we refund the unused part.
  • Bought in the app: payment is charged to your Apple ID. Cancel in iPhone Settings → Apple ID → Subscriptions, and request refunds from Apple at reportaproblem.apple.com.
  • Promotion and creator codes apply only as described when you redeem them and cannot be exchanged for cash.
  • We may change prices or plan contents. Changes apply from your next renewal, and we will tell you in advance where required.

7. Changes to the Service

We are constantly improving Keeptake and may add, change or remove features. If we stop offering the Service entirely, we will give reasonable notice. Projects stored on your iPhone remain yours.

8. Suspension and termination

You can stop using Keeptake at any time. We may suspend or close your account if you seriously or repeatedly break these terms, if the law requires it, or to protect the Service or other people. Where reasonable we will tell you first and give you a chance to fix the problem.

9. Our intellectual property

The Service, including the app, its design, software and the Keeptake name and logo, belongs to us or our licensors. We give you a personal, non-transferable, revocable licence to use the app on Apple devices you own or control, as allowed by these terms and Apple’s Usage Rules. If you send us feedback, we may use it without owing you anything.

10. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted or error-free, or that every cut will be correct. Nothing in these terms limits rights you have as a consumer that cannot be limited by contract.

11. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or USD 50. These limits do not apply to liability that cannot be limited by law, such as for death or personal injury caused by negligence, or for fraud.

12. Indemnity

If you are using the Service for a business, you agree to defend and compensate us for claims by third parties arising from Your Content or your breach of these terms.

13. Apple App Store terms

If you downloaded Keeptake from the App Store:

  • These terms are between you and Keeptake, not Apple. Apple is not responsible for the app or its content.
  • Apple has no obligation to provide maintenance or support for the app.
  • If the app fails to meet an applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the extent the law allows, Apple has no other warranty obligation.
  • Apple is not responsible for any claims relating to the app, including product liability, legal or regulatory compliance, consumer protection, or intellectual property claims. We are responsible for those, as set out in these terms.
  • You confirm you are not located in a country subject to a US government embargo and are not on a US government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

14. Disputes

Before bringing a claim, please contact us at support@n2labs.co so we can try to resolve it informally. These terms are governed by the laws of the country where Keeptake’s operating company is established, without regard to its conflict-of-law rules. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring claims in your local courts.

15. Changes to these terms

We may update these terms. We will change the date at the top and, for material changes, tell you in the app or by email before they take effect. If you keep using the Service after that, the new terms apply. If you do not agree, you can delete your account.

16. General

If a part of these terms is found unenforceable, the rest stays in effect. If we do not enforce a right, we do not waive it. You may not transfer these terms without our consent; we may transfer them in connection with a merger or sale of our business. These terms and the Privacy Policy are the whole agreement between us about the Service.
